مذكرة تفاهم الطلب المسبق
Parties
This Memorandum of Understanding ("MOU") is entered into by Beyond Autos FZE, a free zone establishment registered under the laws of Dubai, United Arab Emirates, with its registered office in Dubai, UAE (the "Company"), and the individual or corporate entity placing a pre-order through the Company's website and WhatsApp (the "Buyer").
1. Purpose and vehicle allocation
This MOU sets out the preliminary terms for the pre-order, allocation and final purchase of the vehicle and quantity confirmed by the Buyer with the Company on WhatsApp.
2. Payment terms and structure
The total purchase price of the vehicle is settled in two milestones:
- 20% advance payment: a booking deposit equal to 20% of the total vehicle price, payable upon confirmation of the order. It is a commitment fee that secures the vehicle's production allocation or international transit slot.
- 80% balance payment: the remaining 80% becomes immediately due and payable upon the physical arrival of the vehicle at the designated Dubai port or the Company's showroom facility.
3. Non-refundable deposit
The Buyer acknowledges and agrees that the 20% advance payment is non-refundable, except where the Company is unable to deliver the vehicle because it is permanently unavailable.
- The deposit compensates the Company for securing allocation, logistics arrangements and administrative costs.
- If the Buyer cancels the pre-order at any stage before delivery, or fails to comply with section 4, the entire 20% advance payment is forfeited to the Company as liquidated damages.
4. Arrival notice and 7-day grace period
- Arrival Notice: the Company notifies the Buyer by registered email, WhatsApp or phone as soon as the vehicle arrives in Dubai (the "Arrival Notice").
- Grace period: the Buyer has 7 days starting from the date the Arrival Notice is issued.
- Obligation: within this period the Buyer must sign the final Sales Contract, pay the 80% balance and arrange vehicle registration or export clearance.
5. Default and forfeiture
If the Buyer does not pay the 80% balance or take delivery within the 7-day grace period:
- this MOU terminates automatically, without a court order or further legal notice;
- the 20% advance payment is forfeited in full by the Buyer; and
- the Company may re-allocate, sell or dispose of the vehicle to any third party without liability or financial obligation to the original Buyer.
6. Governing law and jurisdiction
This MOU is governed by, and construed in accordance with, the federal laws of the United Arab Emirates and the local laws and regulations of the Emirate of Dubai. Any dispute arising from this MOU is subject to the exclusive jurisdiction of the Dubai Courts.
